Terms and conditions

General provisions

These terms and conditions (the “Terms”) govern the relationship between EMSR, s. r. o., registered at Mlynská 706/16, 091 01 Stropkov, Slovakia, company ID: 54652138, VAT ID: SK2121812286 (the “Contractor”), and its customers (the “Client”) in the provision of electrical installation, assembly, mechanical and service work in industrial automation.

Matters not covered by these Terms are governed by the Slovak Commercial Code No. 513/1991 Coll. Different arrangements agreed in a written contract take precedence over these Terms.

Conclusion of the contract

A contract is concluded when the Contractor confirms an order in writing or when both parties sign a contract for work. The Contractor’s quotations are valid for [number] days from issue unless stated otherwise.

Price and payment terms

The price follows the confirmed quotation or the contract. [Add whether work is charged as a lump sum or hourly, and how travel, accommodation and material are charged.]

Time and place of performance

The time and place of performance are set out in the order confirmation or the contract. The Contractor is not in delay where performance is prevented by the Client’s lack of cooperation, an inaccessible site or circumstances excluding liability.

Rights and obligations of the parties

The Contractor shall

  • carry out the work properly, on time and in line with applicable technical standards,
  • have the work performed by persons holding the required qualifications.

The Client shall

  • provide the necessary cooperation, documents and access to the site,
  • brief the Contractor’s staff on the safety rules that apply on site,
  • accept properly completed work and pay the agreed price.

Handover, warranty and claims

The work is handed over when the acceptance protocol is signed. The Contractor provides a warranty of [number] months from handover unless the contract states otherwise.

Defects must be reported in writing or by e-mail without undue delay after they are discovered. The warranty does not cover defects caused by unauthorised interference, improper use or normal wear and tear.

Liability

Final provisions
